Good Standing & Status Certificates

A Certificate of Good Standing or Status (also known, in other jurisdications, as certficates of existance or authorization) is an official, dated document that confirms that a business is compliant with all legal requirements to retain:

  1. sole rights to its business name within the state of Vermont, and
  2. the authority to conduct business under its business name within the state of Vermont.

A certificate of good standing or status does not imply that a business is in good standing with the IRS, the Department of Labor, or the Department of Taxes; or that it is free and clear of any liens or pending lawsuits.

   

Certificates of Good Standing

Certificates of Good Standing may be obtained only for entities that file Annual or Biennial Reports, e.g. Corporations, Nonprofits, Mutual Benefit Enterprises (MBE), Limited Liability Companies (LLC/PLC/L3C), and Limited Liability Partnerships (LLP).

Obtaining a Certificate of Good Standing

To generate a Certificate of Good Standing:

1. Login to our Online Business Service Center:

2. Once in the system, Under Online Services (on the Main Menu, left side of page):

    • Click on Certificate of Good Standing to get started.

3. Follow the on-screen promts from there to:

    • Obtain a Certificate of Good Standing.
    • Pay the $25.00 filing fee by credit card or e-check.

  

Verifying the Validity of a Certificate of Good Standing

To verify the validity and authenticity of a Certificate of Good Standing that has been presented to you, follow the instructions below. Certificates of Good Standing are only valid for 90 days from the date of issuance.

To verify a Certificate of Good Standing:

  1. Go to the Online Business Service Center.
  2. Enter the "Certifcate Number" number at the bottom corner of the certificate presented to you.
  3. Compare the image of what is provided with the image of what appears on your screen. If they match, the document provided is valid.

If you are given a Certificate of Good Standing that does not have a verification number on it or looks different, it may be a fraud. Please contact our office at 802-828-1916 for an over-the-phone verification of the document.

   

Certificates of Status

Certificates of Status are available for entities that do not file Annual or Biennial Reports. i.e. Trade Names, General Partnerships, and Limited Partnerships.
